13. Discuss and take appropriate action regarding 2009 Williamson County Landfill Operation Agreement between the County and Waste Management of Texas, Inc.
 

General Counsel Dale Rye addressed the Court.

  Second By: Commissioner Precinct 4 Ron Morrison Motion: To approve sending the Proposed 2009 Landfill Operation Agreement draft with the changes as proposed by our attorneys to Waste Management and to encourage Waste Management Inc. to approve the contract as soon as possible, returning it to the Commissioners Court for final approval.

Page 8 Section 2.1 (j) - Williamson County will prepare the deed not the Contractor.

Page 10 Section 2.5 Financial Guarantee of Performance - inserting the amount which approximates 100% of gross receipts (currently $3.5 million).

Page 12 Section 2.6 Alternate Disposal Site - Insert a time period of 5 days for shut down due to the Contractor's gross negligence or willful misconduct.

Page 14 Section 2.9 (d) - Figure the 4% on tipping fees not gross receipts for the Future Environmental Liability Fund (FELF).

Page 20 Section 2.11 (1) Records and Reports by Contractors - Operation Review - Cap the amount of the cost of the operational review audit to $15,000 adjusted for Consumer Price Index (CPI).

Page 20 Section Section 2.11 (4) - Cap the cost for monitoring the facility at $50,000 adjusted for CPI and have the Contractor pay for the Oversight Inspector who would work for the County but be paid for by the Contractor.

Page 22 Section 2.16 Master Site Development Fund - Change the calculation to percentage of tipping fee not gross receipts.

Page 26 Section 3.5 Additional Fees - For the Community Recreational Facility Fund, change the calculation to percentage of tipping fee not gross receipts.

Page 28 Section 4.4 (b) Waste Volume and Origination Limits - Change to use the Texas Commission on Environmental Quality (TCEQ) definition which includes construction and demolition debris and treatment plant sludge.

Page 30 Section 4.5 Household Hazardous Waste - Change to 2 special household hazardous waste events per year but capped at $75,000 to be paid for by Contractor adjusted for CPI. Have a small universal waste location that will accept listed items (daily).

Page 33 Section 4.8 Methane Recovery - Change the time period the Contractor would adopt a plan for methane recovery from 3 years to 2 years.

Page 43 Section 10.3  - Change the wording of "events of non curable default" to "events of exceptional default".

Page 43 Section 10.2 - add item (p) Failing to obtain County approval of Alternate Daily Cover as required herein.
